Frequently Asked Questions related to Adobe Systems acquisition of YaWah A/S

On September 15, 2008, Adobe Systems Incorporated (Nasdaq: ADBE) announced that it has acquired YaWah ApS, a privately held company based in Aarhus, Denmark. Terms of the transaction were not announced. Adobe plans to integrate YaWah’s dynamic imaging server technology with the hosted Adobe Scene7 rich media platform to further extend its SaaS presence around the globe.

Q: Who is YaWah?
A: YaWah is a dynamic imaging server solution provider that sells its licensed products primarily through indirect partner channels.

Q: Why has Adobe acquired YaWah?
A: YaWah has built an excellent product, customer base and a supportive set of partners that deliver dynamic rich media globally, with a strong focus in Europe. YaWah’s technology, market knowledge, and established channels combined with Adobe Scene7 technology will enable companies to have immediate access to a wide range of revolutionizing rich-media solutions.

Q: What products does YaWah provide?
A: Based on the concept of “single source dynamic imaging,” the YaWah eRez Imaging Server software enables companies to automatically generate an endless number of image variations and common file types from the same single master image. This greatly reduces errors and helps save many extra hours of work while dramatically reducing the number of images to manage within a company.

Q: Where can I learn more about YaWah products?
A: You can learn more about YaWah at www.yawah.com/products.

Q: Will Adobe continue to offer and support YaWah products?
A: Yes, for a period of time (to be determined), the YaWah channel partners will continue to license the eRez solution. During this period, YaWah and Adobe Scene7 management will work on a plan to integrate certain YaWah product capabilities with the Scene7 platform to deliver a superset of today’s capabilities.

Q: Will YaWah customers call Adobe or YaWah for support?
A: Support for YaWah customers and partners will continue to be provided by existing YaWah personnel and through existing channels.

Q: Where does YaWah do business?
A: YaWah has a global customer base with the majority of its business in Europe.

Q: How many employees does YaWah have?A:  YaWah has five employees based in Denmark.

Q: Will all of the YaWah employees join Adobe?
A: All YaWah employees joined Adobe upon the closing of the acquisition.

Q: Where does YaWah have offices?
A: YaWah’s corporate offices are located near Aarhus, Denmark.

Q: Did Adobe acquire the entire company and all of its assets?
A: Yes, Adobe acquired the entire company and all of its assets.

Q: How much revenue does YaWah generate?
A: YaWah’s revenue is not being disclosed.

Q: What will happen to the YaWah brands?
A: The YaWah corporate brand and the eRez product brand will remain for a period of time, but will eventually be replaced with the Adobe Scene7 product brand.

Q: Will www.yawah.com remain active?
A: Yes, for a period of time (to be determined), the YaWah website will remain active. At some point in the future YaWah product information and content will be integrated into existing Adobe websites.


Products / Solutions

Q: Do you expect to integrate YaWah’s products with any of Adobe’s products?
A: We expect certain YaWah features and functionality will be integrated into the Adobe Scene7 rich media platform.

Q: Are there areas of duplication in product lines? If so, how will that be addressed?
A: Although there is a certain amount of overlap between the YaWah and Adobe Scene7 Image Servers, as mentioned above, certain features of YaWah’s technology are planned for integration to provide a more robust image server solution. A migration plan for existing YaWah customers will be developed and communicated in the coming months.

Q: Does YaWah compete with Digital Asset Management (DAM) solutions?
A: No, YaWah’s dynamic imaging server solution is complementary to Digital Asset Management solutions and can be leveraged by DAM providers to do image manipulation.

Q: Will planned product releases for YaWah or Adobe be affected?
A: No planned product releases from either company will be affected at this time.


Customers / Partners

Q: Will Adobe continue to offer YaWah products?
A: Yes, for a period of time (to be determined), the YaWah channel partners will continue to license the YaWah solution. During this period, YaWah and Adobe Scene7 management will work on a plan to integrate the YaWah product capabilities with the Adobe Scene7 platform to deliver a superset of today’s capabilities.

Q: How many and what types of customers does YaWah have today?
A: YaWah has roughly 500 customers from a range of industries. Most customers are concentrated in ecommerce, consumer products, manufacturing and education.

Q: I am an existing YaWah customer, how does this deal affect me?
A: Adobe is committed to delivering and supporting existing and new YaWah products until such time the YaWah product capabilities have been integrated into the Adobe Scene7 platform.  Please continue to contact YaWah as you have in the past.

Q: Will YaWah products continue to be supported through existing channels and contact points?
A: Yes. YaWah products will continue to be supported through existing channels.

Q: What about YaWah’s existing resellers, OEMs and other partners?
A: We expect to continue to maintain YaWah’s channel and partner relationships.

Q: Will Adobe provide custom integration and development for YaWah solutions?
A: YaWah will continue to provide limited custom solution support. As we transition to a merged product set, Professional Services will be provided by the Adobe Scene7 Pro-Service organization.

Q: Will my support terms, hours of operation, or level of service be impacted by this deal?
A: Customer service and technical support will continue to be delivered according to the service levels and channels currently provided by YaWah to its customers.

Q: Will YaWah customers call Adobe or YaWah for support?

A: Support for YaWah customers and partners will continue to be provided by existing YaWah personnel and through existing channels.

Sunday, March 01, 2009: eRez Imaging Server software and sale of the FSI Viewer products are discontinued as of February 28, 2009. We will support the eRez and FSI software until December 31, 2009
